Major Chemical Distributor 2002-present
Director of Investor Relations
· Principal daily spokesperson to the investment community and the press for the chemical distributor, a multi-billion, operating in the US, Canada, and Europe. Responsible for relationship management with institutional & retail shareholder bases and analysts, working closely with the CAO, CEO, and CFO to articulate their vision to Wall Street. Stock has appreciated over 800% during my tenure, excluding further gains upon buyout offer. Sell-side analyst coverage has increased from two to eleven analysts in the same period.
· Develop the company’s annual investor relations plan. Communicate regularly with buy- and sell-side analysts, portfolio managers, and shareholders, relating external perceptions to senior management. Review analysts’ reports and models, providing guidance; prepare executive management for semi-annual financial results presentations and the annual general meeting of shareholders (AGM), each occurring overseas. Arrange quarterly investor road shows.
· Write all investor communications materials, including every press release, full annual reports to shareholders, presentations, and web site copy. Create all management presentations for events such as the AGM, analyst meetings upon the release of earnings, and investor road shows. Prepare regular updates on the economy/industry, share price movements overlaid with company and industry events, and analyst estimates, for the regular board package. Have sole ownership of company web site.
· Project leader for company’s last five annual reports—produced in two languages—drafting or editing virtually all of the 44-page narrative section, and proofreading the entire 88-page report. Company’s 2003 and 2006 annual reports were honored as “Best Annual Report in Show” by the National Investor Relations Institute (NIRI) local chapter. Both annual reports received additional recognition for “Best CEO Letter and Narrative.” All annual reports produced under my leadership won at least one NIRI award in every year from 2003-2006.
· Handled moment-to-moment IR/PR activities in connection with a $650 million competitive acquisition of a major peer, among others; as always, was on call late nights and weekends.
· Supervise an investor relations/public relations agency that performs a variety of tasks, particularly related to the annual shareholder meeting, analyst and press meetings, and translation of the annual report.
Major Biopharmaceutical Firm 2001
Associate Director of Investor Relations
· Sole in-house investor relations, corporate communications, and public relations professional for late-stage biopharmaceutical company that recorded the largest-ever biotechnology initial public offering of $244 million. Primary company liaison to the investment community and the media. Responsible for planning, evolving, and implementing investor relations strategy for marketing shares to institutional investors. Managed IR aspects of external reporting. Wrote all press releases and the annual report.
· Established a comprehensive investor relations program, including road show and industry conference planning, the design and production of published materials such as the annual report, press releases, and investor kits, as well as Q&A documents for management, a competitive analysis database, and mailing databases. Designed and maintained external company communications media, including an improved web site and various PowerPoint presentations.
